Welcome to Coderblock!

We are a Metaverse Gaming Platform a virtual environment that combines elements of augmented reality (AR), virtual reality (VR), and the internet to create a persistent, shared space where users can interact with each other and digital objects in real-time.

We provide our users with different ways to engage with our services.

They can acquire virtual lands during our sale season to create their own environments using our builder tool and explore lands owned by others. Furthermore, a unique role-playing game experience is available within our platform.

Moreover, within Coderblock, users can generate income through their virtual lands using our advertising services or our marketplace.

Definitions:
Metaverse Gaming PlatformA virtual environment that integrates gaming experiences within a broader metaverse concept, typically involving interconnected virtual worlds, social interaction, and various gaming elements.
CoderblockCoderblock S.r.l. or Coderblock Corporation or in the meaning of the Platform.
AR (Augmented Reality)Technology that overlays digital information or elements onto the real-world environment, enhancing the user’s perception of reality.
VR (Virtual Reality)Immersive technology that creates a simulated environment, often through the use of a VR headset, providing a fully immersive experience.
UserAn individual who engages with the Metaverse Gaming Platform, which could include players, creators, advertisers, and other participants.
Terms&ConditionsThis set of rules, guidelines, and agreements that users must adhere to when using the Metaverse Gaming Platform.
PlatformThe overarching system or infrastructure that facilitates interaction, communication, and activities within the Metaverse Gaming environment.
EULA
It stands for “End User License Agreement“. A legal contract outlining the terms and conditions of using the game provided by Coderblock inside the platform, typically agreed upon by the end user.
GuestA user who accesses the platform to assist at just an event organized by a Coderblock’s User.
PlayerAn individual actively engaging in gaming experiences within the Metaverse Gaming Platform.
Land(s)Virtual property or space within the platform that users can own, customize, and use for various activities.
Landowner(s)An individual or entity that owns virtual land within Coderblock.
AvatarA digital representation of a user within the virtual environment, often customizable to reflect the user’s preferences.
NFT(s)A unique digital token representing ownership or proof of authenticity of a specific digital asset.
ADV ProgramAdvertising program within Coderblock as described in this T&C.
Advertiser(s)The brand or the company that ask to Coderblock to create a paid campaign whitin the Platform.
Creator(s)An individual who, typically possessing a land or a yearly subscription with a minimum of two remaining months, offers services such as creating customized scenes within the platform.
BuilderA tool provider by Coderblock to Creators allowing users to create and design virtual scenes or environments.
Creator’s MarketplaceA virtual space within the platform where brand or companies can request and buy from creators a customized virtual environment.
MembershipA subscription (monthly or yearly) providing users with specific privileges or access within the platform.
Coin(s)Currency provided by Coderblock that can be used inside the platform.
UGCIt stands for “User Generated Contents“. Content created by users, often contributing to the overall environment or experience.
Art. 1 – Acceptance of these Terms & Conditions

Please read these Terms & Conditions carefully before using our services.

Using the service, in fact:

  1. The User fully accepts these Terms&Conditions aware that the platform is constantly subject to evolutionary development activities.
  2. The User uses the platform assuming full responsibility for the use and the digital assets stored within it.
  3. The User declares to be over fourteen years of age, the minimum age allowed for the use of the platform.
  4. The User accepts in full, in addition to this document also documents relating to Privacy, the code of ethics and conduct of the platform.

This document must be read in conjunction with the End User License Agreement.
The use of the Coderblock services determines the acceptance of all documents with respect to the applicable sections

If the User does not intend to accept at least one of the above points, he must refrain from using the Platform and related services as the use implies the explicit acceptance of the same.

Art. 3 – Scope and refinement of T&C

These Terms&Conditions apply to all services provided by Coderblock to Users through its Metaverse Gaming Platform and to any other services on the Platform provided by Coderblock.

This Agreement is concluded and shall have effect on Users upon acceptance upon registration to the Platform. In order to operate within the Coderblock Platform and to access all functions and services, registration is necessary in order to allow the activation of the services available within it.

For Users who decide to use the service as “Guest” or as “Player”, they accept these Terms & Conditions, the Privacy Policy Document to the extent applicable with regard to the features made available with access reserved for guests.

The User who registers within the platform declares to be able to assume the responsibilities arising from the use of the services and any economic costs related to interactions within the platform with Coderblock or with other Users.

By agreeing to these Terms and Conditions, you represent that you understand them and understand the dynamics of cryptocurrencies, NFTs, blockchain, and the use of virtual tokens, assuming any responsibility related to the use of such technologies in the relationship with third parties and indemnifying Coderblock from any prejudice that the use of such technologies could entail for the User.

Finally, the User declares to use the Platform made available by Coderblock in compliance with national and international laws and not to use the aforementioned platform for fraudulent purposes or contrary to mandatory rules of any state in which the Platform is made available.

Art. 4 – Disclaimer and variations of these Terms&Conditions

The Coderblock Platform and its services are provided “as they appear”.
Coderblock and any of its subsidiaries, affiliates and/or licensees do not guarantee that:

  1. The Service will operate continuously, and that it is secure and available at all times and/or places.
  2. Any errors or defects will be corrected immediately.
  3. The Service will always be free of viruses or other harmful components.
  4. The results of the use of the Service will be those expected by the User.

In addition, Coderblock reserves the right to update these terms & conditions at its discretion by promptly notifying Users and informing them of the changes made in compliance with Italian law.

Art. 5 – Access to the Platform

When registering with the Platform, the User is obliged to choose a username/e-mail and a password. These credentials will be used by the same for future accesses to the Platform itself. In addition, to the User will be offered the possibility to configure their own avatar that can represent them within the different virtual environments.

The User undertakes to make every reasonable effort to keep the username and password in a safe place in order not to be used by third parties.

Coderblock will not be responsible for the loss of the username or password even if such loss involves fraudulent access to the platform.

Coderblock invites the User not to disclose their password to third parties and to choose a sufficiently strong password.

In any case, should the User report an abuse, Coderblock will endeavor to verify the identity of the User and support him for the modification of his access data or for the password recovery procedure.

If access is made by means of third-party tools (such as wallets), Coderblock does not assume responsibility for the security of use of third-party systems, nor can it activate its own service.

In any case, the User is solely responsible for the activities carried out by means of his account and in no case may he attribute responsibility for the actions carried out by third parties who have regularly accessed the platform to Coderblock. In the event that the User requests a verification, Coderblock may block the account in order to carry out the appropriate checks.

Transactions that take place within the Platform are managed through the Ethereum blockchain. You represent that you are aware that your public Ethereum address will be made visible to third parties whenever you make a transaction using such technology.

If you reside in a jurisdiction where online gambling is prohibited (such as the United States of America, China and South Korea), you must refrain from accessing Content that includes online gambling, taking responsibility for any breach.

Art. 6 – Risks associated with the use of the platform
6.1 Disclaimer

The User acknowledges and accepts that the Platform, every function and every environment connected to it is to be understood “as it appears” or “as available” and that the platform and its services are subject to constant evolutionary updating in order to guarantee the User always the best available technology.

For this reason, Coderblock cannot provide any guarantee about the possibility of access and use of the platform and the use of the tools made available through it.

6.2 Legal risks to encrypted systems

By using the platform and the services connected to it, the User declares that he is aware that he will come into contact with different innovative technologies that, by their nature, may represent a risk. Specifically, the User declares to be aware of the risks associated with and associated with the use of the systems related to the use of cryptocurrencies and specifically related to the Ethereum network and smart-contracts. In addition, the User declares to be aware of the risks associated with the use of the different currencies used within the platform to make purchases and transactions.

By using cryptocurrencies or NFTs, the User acknowledges that such systems are based on blockchain technology and that the value of such assets is extremely volatile and interconnected to numerous factors that cannot be calculated at the time of purchase, such as, but not limited to: security-related risks, speculation, risks related to legislation in different countries.

6.3 Legal risks in multiple jurisdictions

Coderblock and its associated companies may be subject to verification procedures by one or more legal authorities in one or several legal systems. Depending on the nature of these procedures, they may restrict access to the platform or the use of certain services related to it.

6.4 Taxation

The User declares that he is solely responsible for determining and discharging the tax charges due for the income deriving from the transactions carried out within his Land. The User hereby indemnifies Coderblock from any liability related to the discharge of tax and tax obligations and from any claims of third parties, whether private or public authorities.

6.5 Transactions and fees

If you choose to buy, trade or sell a Land, an Avatar, a 3D item or other non-fungible token (“NFT”) with or from other users through the tools made available by Coderblock such as, for example, the Marketplace, any financial transaction will be conducted exclusively through the Ethereum network, Layer 2 Solutions or other sidechains via Web3 providers. Coderblock will have no knowledge or control over these payments or transactions, nor does it have the ability to reverse transactions. In the light of the foregoing, Coderblock shall not be liable to you or any third party for any claims or damages that may arise as a result of any transactions made, or any other transaction that the user conducts through the above technologies.

Ethereum and any third-party transaction system on that network requires a transaction fee (c.d. “Gas Fee”) for each transaction that occurs on the Ethereum network. The Gas Fee finances the network of computers that manage the decentralized Ethereum network. This means that you will need to pay that surcharge for each transaction you make. The user accepts and declares to be aware that such fee is unrelated to Coderblock and is not repeatable.

The User will be solely responsible for the payment of the taxes arising from all sales and transactions that generate an income carried out within their Land, with the exception of the taxes payable by Coderblock.

You represent that you will indemnify Coderblock against any liability, expense, damage, cost (including attorney’s fees and court fees) claim or action of any kind arising out of your use of the Tools or the Platform, violation of these terms & conditions and any fraudulent actions or omissions of the user.

6.6 Recommendations for the use of virtual reality devices

It is recommended to use, if is required, the virtual reality headset in moderation, encouraging the user to avoid long-term usage and to take regular breaks of approximately fifteen minutes for every hour of virtual experience. The duration and frequency of such interruptions may vary from person to person, with particular attention to those suffering from refractive errors and/or ocular pathologies. It is advised to immediately cease the use of the headset in the presence of dizziness, nausea, fatigue, or headache. Individuals sensitive to intermittent lights or specific geometric shapes may be susceptible to a form of undiagnosed epilepsy, with the possibility of seizures during the virtual experience. For those prone to epileptic attacks, it is advisable to consult a doctor before using the headset. It is crucial to promptly consult a doctor if symptoms such as visual disturbances, muscle contractions, involuntary movements, loss of consciousness, mental confusion, or seizures occur during the use of the headset. The use of the headset is not recommended for individuals under the age of 14, and it is emphasized that the device should not be employed for purposes other than those for which it was originally designed.

Art. 7 – Land’s purchase 

During specific periods of the year, users will have the opportunity to purchase one or more lands in the virtual world of Coderblock. Each land is identified within the Metaverse Gaming Platform by a unique pair of coordinates. At the time of purchase, these coordinates are uniquely associated within the metadata of the NFT (Non-Fungible Token) to the buyer. The buyer gains the exclusive right to use the purchased land, in accordance with the specific provisions of these Terms & Conditions, and the right to ownership of the NFT associated with the purchased land by Coderblock.

Users will make the purchase through the designated form, and each order will be associated with the email address provided by the user. In the case where the user is not registered (Guest), after the purchase, they will need to register on the platform with the same email used for land acquisition. This step is necessary to allow Coderblock to proceed with the transfer of the NFT associated with the land to the user’s wallet. If the purchasing user is already registered, they should specify the exact address of their wallet in the designated section of the purchase form to facilitate the transfer of the asset.

Upon the completion of the order and payment, the user will be shown a page indicating the unique coordinates of the purchased land(s). Due to technical reasons related to blockchain network latency, it may take up to thirty minutes for the association of the land with the user’s wallet to be effectively visible.


Art. 8 – Advertising Program

A brand or a company (Advertiser) can request to Coderblock to create a paid advertising campaign within the Metaverse Gaming Platform.

Every Creator will have the opportunity to host advertising from brands that make such requests within their scenes.

To host advertising campaigns, the Creator must submit a request to Coderblock to join the ADV Program. Coderblock will assess the requests on reasonable terms and will accept, at its sole and unappealable discretion, the participation in the program.

Through the builder, each landowner can integrate 3D objects into their land that allow the display of advertisements. Upon activating the advertising campaign, Coderblock will select certain designated spaces (e.g., Hexagon Plaza) as well as some spaces on lands owned by third parties (Landowners) to showcase the advertisements of the companies that have submitted requests.

The earnings that Coderblock will allocate to the Landowner will be determined based on two values: the first value represents the number of visits to the specific individual scene/virtual land in the open world and the corresponding impressions resulting from those visits.

The second value represents the number of actual interactions that visitors to the land have with the specific advertisement (number of actual clicks).

Coderblock will calculate both values for each active advertising campaign and communicate to the Landowner the amount earned for each campaign.

The Landowner will have the option to activate or deactivate, using a designated button, the various campaigns proposed by Coderblock.

Coderblock reserves the right to remove advertising content that violates rules or is deemed inappropriate for the community.

Coderblock reserves the right to make changes to the management of advertising spaces in the platform, including these terms and conditions, with advance communication to users.

Coderblock reserves the right to exclude one or more creators from the ADV Program in the event that they do not adhere to the conduct rules established in this document or in other legal documents of the platform.

By participating in the Adv Program and asking Coderblock to set a paid campaign, Advertisers licenses trademarks, service marks, trade dress, trade names, brand names, logos, corporate names, and domain names, and other similar designations of source; original works of authorship and related copyrights and any other intangible property in which any party holds proprietary rights, title, interests, or protections, however arising, pursuant to the laws of any jurisdiction throughout the world, including all applications, registrations, renewals, issues, reissues, extensions, divisions, and continuations in connection with any of the foregoing and the goodwill connected with the use of and symbolized by any of the foregoing (“Advertiser Intellectual Property”) to Coderblock for use on the Platform pursuant to these Terms and Conditions. The brand who activate an ADV campaign further grant Coderblock an additional non-transferable, non-assignable, non-exclusive, limited, non-sublicensable, royalty free and fully paid worldwide license (without an obligation) during the period.

Creators and Landowners acknowledges and agrees that Coderbolck is and shall remain the sole and exclusive owner of all right, title and interest in the Platform and about ADV Program.

The brand or the company that wants to start an ADV campaign hereby represents, warrants, and covenants that (i) it is a legal entity duly organized, validly existing, and in good standing in the jurisdiction of its formation; (ii) it is duly qualified to do business and is in good standing in every jurisdiction in which such qualification is required for purposes of these Terms; (iii) it has the full right, power, and authority to enter into these Terms, to grant the rights and licenses granted under these Terms and to perform its obligations under these  Terms; (iv) neither the Ads and other materials submitted hereunder nor the use thereof by Coderblock, including without limitation with respect to advertising, marketing or promotion does or will infringe upon, misappropriate or otherwise violate any intellectual property rights or any other rights of any third party; (v) it shall comply with, and the Ads shall comply with, all applicable laws, rules, regulations; (vi) neither the Ads nor any other materials provided by brand will contain any virus or malicious software.

THE AGGREGATE LIABILITY OF AFFILIATED PARTIES TO YOU FOR ALL CLAIMS (INCLUDING WARRANTY CLAIMS) OR CAUSES OF ACTION IS LIMITED TO THE TOTAL AMOUNT PAID OR PAYABLE BY YOU TO CODERBLOCK UNDER THESE AD TERMS FOR THE TWELVE-MONTH PERIOD PRECEDING THE TIME WITHIN WHICH ADVERTISER NOTIFIES CODERBLOCK OF A CLAIM.

Art. 9 – Creator Membership for Builder

With the purchase of the Creator Membership’s version of the Service, users will have access to the features of the Builder within Coderblock’s Platform.

Subscription fees for Creator Membership are specified at the time of payment and are paid in advance on a monthly or yearly basis.

  • The monthly subscription provides users with limited access to the builder and does not grant access to the ADV Program and Marketplace as a creator.
  • The annual subscription, on the other hand, offers users complete access to the builder and enables participation in the ADV Program and Marketplace as a creator.

Payment obligations for Creator Membership are non-cancelable, and the fees are non-refundable unless otherwise indicated in this Agreement. Payment methods and conditions are detailed in dedicated pages on our website. Coderblock reserves the right to make changes to Creator Membership plan, including the amount of fees and included features, with advance notice to affected users.

Users can access detailed information about Creator Membership plan directly on the Coderblock platform. By accepting the Terms of Use of Coderblock’s platform and subscribing to Creator Membership plan, users confirm their understanding and acceptance of the conditions described above regarding the use of the Builder.


Art.10 – Creator’s Marketplace

Brands or companies that have purchased a land, have the opportunity within the Marketplace to request our community of creators to design a customized scene for display on their land. To make such a request, they will have access to a dedicated page where they can describe their needs in as much detail as possible, specify the budget, required completion times, and desired features. This request will be approved by Coderblock, made public, and visible to the community of creators within the platform in the designated Marketplace section. Creators will then have the opportunity to propose their solutions to the brand, ensuring they align with the specifications outlined in the request. After a specified period during which the request is active, the brand can choose the creator’s offer that best meets the expressed needs in the announcement. Once the Creator is selected, the brand can proceed with payment to Coderblock inside the platform and the the specially developed virtual environment will be integrate into the land. Coderblock will request a 15% commission from the company that has purchased the custom scene based on the total price paid.

Creators are defined as such if they own a land or hold an annual subscription with a minimum of two remaining months to Coderblock’s Membership. With these qualifications, they have the opportunity to access the Marketplace as creators. Upon viewing a request, creators can submit their own project based on the guidelines provided by the brand or company. The brand or company will autonomously select the creator they deem most suitable for their needs. Once selected, the creator commits to completing the agreed-upon activity within the specified timeframe. Payment will only be made to the creator after the activity has been successfully completed. The Creator hereby agrees not to collaborate directly with the brand but to abide by the management activities implemented by Coderblock.

The obligations arising from the activities carried out within the Marketplace are the responsibility of the parties involved, who commit to the performance of the service and the payment of the agreed-upon price. The parties must conduct activities in good faith and in accordance with the Platform’s code of conduct.

No liability can be attributed to Coderblock or its affiliated companies for any misconduct within the Marketplace. In any case, users wishing to report misconduct can do so following the procedure outlined in these Terms and Conditions. Once a violation is confirmed, Coderblock reserves the right to suspend or delete the reported user’s account.  Additionally, the Creator acknowledges and accepts participation in a rating system, relieving Coderblock of any associated responsibility. The Creator recognizes Coderblock solely as the tool through which brands and companies evaluate the Creator’s activities.

The Creator assumes full and complete responsibility for the intellectual property of the proposal submitted to the brand or company making the request. The Creator declares to own the intellectual property rights or to have the right to use them for commercial purposes to create a specific scene or to include specific elements within it. In no case shall Coderblock be held responsible for the violation of intellectual property or industrial rights of third parties; the sole responsibility lies with the Creator. If third parties believe their intellectual or industrial property rights have been violated, they can make a specific report to Coderblock, which, after appropriate verification, will suspend or delete the account of the user who violated these rights.

Finally, the parties declare to assume full and complete responsibility for complying with tax obligations related to the activities mentioned above, providing the necessary declarations to the relevant authorities in each country. Henceforth, they indemnify Coderblock from any liability regarding taxation or tax-related aspects associated with transactions that occurred in the Marketplace, to the extent that it exceeds Coderblock’s earnings.


Art. 11 – Payment’s methods

Coderblock, on its platform, accepts various payment methods. Users can utilize the following payment methods as examples, but not limited to, to purchase lands or make purchases within our Metaverse Gaming Platform:

  • Credit or Debit Card
  • Stripe
  • Apple Pay
  • PayPal (either by paying the full amount immediately or by installment payments)

Payments are processed through third-party platforms, and Coderblock does not store users’ payment data. User authorizations are subject to the Terms & Conditions of the respective payment providers.

Additionally, users can make payments using USDC (a stablecoin offered by Circle and Coinbase, pegged to the US dollar at a 1:1 ratio) and USDT (a stablecoin offered by Tether Limited, pegged to the US dollar), by selecting the appropriate currency during the payment method selection.


Art. 12 – Disclaimers and Limitation of Liability

The User acknowledges and accepts full responsibility for the use of the Platform and the associated tools. The User acknowledges and accepts that all information sent or received during the use of the platform and the tools connected to it cannot be secure and can be intercepted or subsequently acquired by unauthorized parties. You acknowledge and agree that your use of the platform and tools is at your own risk.

The User acknowledges and agrees not to attribute to Coderblock contractual and extra-contractual liability (including negligence), direct or indirect, arising from compensation obligations, breach of legal obligations or otherwise consequential or referable to these terms & conditions for:

A.  loss of profit;
B.  loss of revenue;
C.  loss of earning chances;
D.  loss of business opportunities;
E.  damage to reputation;
F.  loss or compromise of data;
G.  any indirect or consequential damage or loss, compared to the previous ones.

Limitations and exclusions of liability apply even if Coderblock is aware of the possibility of loss.

Coderblock is not responsible for the interactions (verbal and physical) between Avatar within the public and private spaces nor for the space entrusted to the User when using Coderblock spaces.

Coderblock will not carry out any further control over access to the common virtual space, if there is an appropriate access title.

Coderblock will not be responsible:

A.  the activities carried out by the User within the own virtual environment, not being bound to any control about the lawfulness or the type of activity exercised.
B.  the use of the User’s image, without prejudice to compliance with the provisions on the protection of personal data.
C.  communication between the User and other users.
D.  Coderblock will not make any further checks on the identity of the Users, who will participate in the event through their Avatar.

Due to the specific structure of the internet, in which many entities are involved, no guarantee can be given regarding the constant availability of the Service. The Customer agrees not to hold Coderblock liable in the event of loss or damage of any kind resulting from the loss of data, the impossibility of access to the internet.

Coderblock also does not guarantee that:

A.  The access or use of the tools meets the User’s expectations.

that any data you disclose or make publicly available within the platform when you use the b. tools will be safe.

The User, in fact, is aware that in any case the disclosure of their online data represents a personal risk. In any case, Coderblock will work to protect its systems and to ensure that the platform and the data processing carried out by Coderblock itself complies with the GDPR.

In the case of processing by third parties, Coderblock does not guarantee and cannot guarantee that such processing takes place in accordance with the GDPR.

 

12.1 – Use of digital wallets

Coderblock, its administrators, officers and employees shall not be liable to Users for any losses incurred as a result of the use of the ethereum network or “Metamask” or any other electronic wallet, including damages or claims arising from:

  1. User errors, such as forgotten passwords or incorrectly encoded smart contracts or other transactions.
  2. Server failure or data loss.
  3. Damaged or unusable portfolio files.
  4. Infringement of intellectual property by users.
  5. Unauthorised access or activity by third parties, including but not limited to the use of viruses, phishing, brute-forcing or other means of attack against the tools, ethereum network, electronic wallet accounts.
12.2 – Validity of Cryptocurrencies and NFTs

NFTs, Cryptocurrencies and all other assets are intangible digital assets that exist only by virtue of the ownership record maintained in the ethereum network. All smart contracts are conducted and occur on the decentralized register within the Ethereum platform. Coderblock has no control over and does not provide any guarantee as to the actual ownership of the assets or in relation to Smart Contracts.

Aura is the cryptocurrency of Coderblock. Cryptocurrencies, including Aura, are intangible digital assets that exist only by virtue of ownership data stored in the Ethereum network. All Smart Contracts are managed and signed on the decentralized register within the Ethereum platform.

Coderblock cannot be held liable for losses due to blockchain technology or any other feature of the Ethereum network or electronic wallets, including, but not limited to, technical problems at certain nodes and any other problem that may result in a loss of capital.

Art. 13 – Currency on Coderblock Service

Coderblock Coin(s) is the global currency with Euros and Dollars of the platform for the purchase of virtual items. It has to be considered as a “paid currency”, meaning it is a currency to be used for platform purchases. Coderblock Coin(s) can be purchased in exchange for Euros or American Dollars. Coderblock Coin(s) do not accrue interest.

Only those who are 16 years old or older can purchase Coderblock Coin(s) or engage in transactions convertible to real-world currency using the service.

When the User purchases Coderblock Coin(s) inside the Platform, they receive a limited, non-refundable, irrevocable license to use Coderblock Coin(s) solely for their personal entertainment in connection with the service, in ways permitted by Coderblock in this Agreement. The user’s license to use Coderblock Coin(s) will end when this Agreement or the user’s account is closed, or in any other manner set forth in this Agreement or other applicable terms of Coderblock. All payments for Coderblock Coin(s) are final and non-refundable, except as required by law. Users cannot use or distribute Coderblock Coin(s) outside of the service.

Any use or attempted use of Coderblock Coin(s) in violation of this Agreement will be void and may result in the immediate closure of the user’s account and the user’s right to use Coderblock Coin(s). Coderblock does not recognize and has no responsibility for third-party services that allow users to sell, transfer, or otherwise use Coderblock Coin(s). Any such use by a user constitutes a violation of this Agreement.

Coderblock may impose limits or restrictions on Coderblock Coin(s) at any time. Except for the limited licenses granted above, Coderblock retains all rights in Coderblock Coin(s). This includes the right to modify, revoke, or terminate the user’s license to use Coderblock Coin(s) without notice, payment, or any liability to the user. Coderblock does not make any guarantees regarding Coderblock Coin(s), their availability, or their value.

When a user spends Coderblock Coin(s), they are transferred directly to Coderblock or to other users that accept Coin(s). All such transfers made to Coderblock are final, irrevocable, and non-reversible. When purchasing Coderblock Coin(s), the user declares that they have the right to use their selected payment method and that their payment method has enough credit available to complete the applicable payment. If the user believes someone has gained access to or used their account without permission, they must notify Coderblock as soon as possible by contacting Coderblock Support. Coderblock has the right to close any account with unauthorized charges.

Coderblock has the right, at its sole discretion, to suspend the availability of any content without notice. Coderblock is not liable for any losses to the user as a result of such suspension or removal, and Coderblock is not required to refund any Coderblock Coin(s) or other currency or amount that the user has spent on any removed or suspended content.

Art. 14 – Events

In the case of events organized by Coderblock within the platform, it is specified that participation in such events is subject to the following conditions:

A.  Participation in events organized by Coderblock does not guarantee the right to refunds unless otherwise specified by Coderblock.
B.  Users are aware that any changes or cancellations to events, regardless of the cause, do not entitle them to refund requests.
C.  Coderblock reserves the right to make changes to events, including the date, location, or nature of the event, with advance notice to affected users.
D.  Such changes do not constitute grounds for refund requests and are considered integral to the experience.

By accepting the Terms of Use of Coderblock, users confirm their understanding and acceptance of the above conditions regarding events organized by Coderblock.

Participation in events automatically implies acceptance of these provisions without reservations.


Art. 15 – Intellectual Property

Unless otherwise agreed between the Parties, the software designed or developed in the context of the provision of the Service, as well as the models, schemes, algorithms, graphics, trademarks, logos and any other intellectual or industrial property title, are the exclusive property and ownership of Coderblock.

The stipulation of these Terms & Conditions does not imply, nor shall it entail, any assignment, license or tacit consent to the use of them, unless expressly stated.

Art. 16 – Management of User Generated Contents

The User who shares, publishes or uploads content protected by intellectual property rights within Coderblock, grants a non-exclusive, transferable, sub-licensable, royalty-free and worldwide broadcast license, the use, distribution, modification, execution, copying, public execution or display, translation and creation of derivative works of its own contents (in compliance with the privacy policy).

This license ceases to exist once you have deleted your content from Coderblock’s systems.

You can delete content individually or collectively by deleting your account. You may download a copy of your data at any time before deleting your account.

When you delete your content, it will no longer be visible to other users; however, it may continue to exist in other locations within Coderblock’s systems if you:

A.  immediate deletion is not possible due to technical limitations (in these cases, the content will be deleted within a maximum of 90 days from the date of deletion by the user);
B.  your content has been used by other users under this license and has not been deleted (in which case, this license will continue to apply until the content is deleted);
C.  in cases where immediate deletion would limit Coderblock’s ability to:
D.  identify or investigate illegal activities or violations of Coderblock’s terms and regulations;
E.  comply with a legal obligation, such as the retention of evidence;
F.  comply with a request from judicial or administrative authorities, law enforcement agencies or government agencies.

In the cases of retention referred to in the previous paragraph, the contents will be kept for a period not exceeding what is necessary in relation to the purposes for which they were stored (the exact duration will vary depending on the situation). In each of the above cases, the license will continue to exist until the content is completely deleted.

Art. 17 – Use of Coderblock’s brand

Coderblock does not grant permission to use the trade names, logo, trademarks, service marks or product names of the licensee and/or its licensors, unless there is an explicit written agreement between the User and Coderblock.

Art. 18 – External links

The Site and the Tools provide, or third parties may provide, links to other World Wide Web sites or accessible sites, applications or resources. As Coderblock has no control over such sites, applications and resources, you acknowledge and agree that Coderblock will not be responsible for the availability of such external sites, applications or resources, and does not endorse and is not responsible for any content, advertising, products or other materials on or available from such sites or resources. You further acknowledge and agree that Coderblock will not be liable, directly or indirectly, for any damage or loss caused or alleged by or in connection with your use or reliance on such content, goods or services available on or through such site or resource.


Art. 19 – Resolution

You have the right to terminate your Account at any time by cancelling and discontinuing your access to and use of the Tools. Coderblock may decide to suspend or terminate certain services by giving users appropriate notice. There will be no refund for the User who cancels or cancels their Account. You further agree that Coderblock may, without notice, suspend your account up to a maximum of thirty days in the event of a breach by you of these Terms&Conditions or of the Privacy Policy or the Code of Ethics and Conduct, in case of more serious violations may delete the account.

In the event of a breach of these Terms&Conditions by you or of any activity that is even suspected or fraudulent, abusive or illegal, Coderblock may, in addition to the foregoing, delete, block, suspend even individual content uploaded by the User at its discretion giving notice later and indicating the reasons for the action taken.

In case of suspension of the account, the User may request that or the same be reactivated by contacting Coderblock and answering the questions of the support service that will carry out an evaluation of the answers.

If you delete your account, you will not be able to request any reactivation.


Art. 20 – Notice and complaint procedure of copyright infringement

If you or a third party believe that your Intellectual Property Rights or the Intellectual Property Rights of a person on whose behalf you are authorized to act have been infringed, Coderblock invites them to contact you at legal@coderblock.com with the following information:

  • A description of the intellectual property right that you claim has been infringed;
  • A description of where the material you claim to be infringing is located on the Tools;
  • Proof of ownership or ownership of the claim;
  • Address, telephone number and e-mail address;

Coderblock will contact the User as far as possible and verify when stated by third parties. Because Coderblock does not control User Uploaded Content, if you disagree with the request and/or do not agree to withdraw the infringing content, Coderblock reserves the right to provide for the removal of the content if it considers that the right claimed is effective.


Art. 21 – Dispute Resolution

Coderblock and the Coderblock Users undertake to carry out any attempt to resolve disputes out of court. Should the attempt to resolve the dispute in a good-natured manner fail, the Parties agree to have recourse to a Mandatory Arbitration at the Chamber of Commerce where Coderblock S.r.l. has its seat that will decide the outcome of the dispute. The parties are obliged to maintain the utmost confidentiality with respect to all aspects of any arbitration and/or legal action initiated under these Terms and Conditions and not disclose the fact, the conduct or outcome of the same to third parties except to the extent required by applicable law or to the extent necessary unless otherwise provided for by a mandatory rule.


Art. 22 – Loss of Class Action right

The parties agree that any arbitration will be individually by you and never as a “Class Action” or other collective action and the parties expressly waive that right. The User and Coderblock agree that each party may submit claims against the other party only and exclusively on an individual basis. If this clause is declared void by an authority or by a Court of First Instance or becomes unenforceable for any reason, then Art. 14 in the part relating to the obligation of arbitration will be considered not applicable and the User will have to resort to the ordinary judicial authority of the country of reference.


Art. 23 – Final clauses and changes to these Terms&Conditions

Coderblock undertakes, in the event of a change to these Terms and Conditions, to grant the User thirty days’ notice, after which the notified changes will take effect.

The changes will be communicated to the e-mail provided by the User during registration.

These Terms&Conditions are entirely governed by Italian law.

These Terms&Conditions constitute the entire agreement between the User and Coderblock with respect to the Platform and the associated instruments and supersede any previous agreement.

In the event of a conflict between these Terms&Conditions and any subsequent legal documents published on the platform, the latter shall prevail over the former.

Coderblock’s waiver of any right or provision of the Terms will not constitute a waiver of that right.

If any provision of this document is rendered invalid or void, the Parties agree that the remaining parts of the agreement shall remain in force.

The official language of this document is Italian, any translation is to be understood as a courtesy translation.

This English translation is a courtesy translation. The meaning of the terms and the legal value will, in any case, refer to the Italian version.
